1. ACCEPTANCE OF TERMS

By accessing and using Just Wedding Vendors Network web site, www.justweddingvendorsnetwork.com (the "Site"), users (each, a "User" or "you") are agreeing to the following Terms of Use ("Terms of Use"). Please read these Terms of Use carefully, along with the Just Wedding Vendors Network Privacy Statement. By using this Site or the Just Wedding Vendors Network services offered on the Site, you signify your agreement to these Terms of Use, our Privacy Statement and all terms, conditions and notices contained or referenced herein. If you do not agree to these Terms of Use, please do not use this Site. The features and services provided through the Just Wedding Vendors Network Site require a one time time fee of $50 for your zip code listing, these are services are offered pursuant to our Member Subscription Agreement.

2. CHANGE TO TERMS AND JUST WEDDING VENDORS NETWORK SERVICES

Although not likely, we may, without notice, modify or terminate the Just Wedding Vendors Services for any reason, without liability to you, any other user or any third party. We reserve the right to modify these Terms of Use at any time without notice. Please review these Terms of Use from time to time so that you will be apprised of any changes.

3. NO DATA MINING OR RESALE OF DATA PERMITTED

Use of manual or automated software, devices, or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools, or the like, other than the search engine and search agents available as part of the Just Wedding Vendor Network) to "scrape" or download data from any web pages contained in the Site is strictly prohibited.

The Site and the Just Wedding Vendors Network are for your personal or wedding related business use only and may not be used for any commercial purpose. You agree not to (i) use the Site for illegal and/or unauthorized uses, including collecting o rtrying to collect any information and/or e-mail addresses of other Users by electronic or other means for the purpose of sending unsolicited e-mail; (ii) reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Just Wedding Vendors Network Service; (iii) develop or derive for commercial sale any data in any form whatsoever that incorporates or uses any part of the Just Wedding Vendors Network Services or any data residing in it; (iv) use the Just Wedding Vendors Network Services to sell a product or service or to increase traffic to your web site for commercial purposes; (v) take the results from a Just Wedding Vendors Network search on Just Wedding Vendors Network site and reformat and display them, or mirror the Site or Just Wedding Vendors Network' search results pages on your web site; or (vi) "meta-search" the Just Wedding Vendors Network Services.

5. USER CONTENT

You acknowledge and agree that although (i) Just Wedding Vendors Network does in most cases pre-screen content provided by Users of the Site ("User Content"); (ii) Just Wedding Vendors Network does not endorse or adopt (and has not necessarily reviewed) any User Content nor assumes any responsibility for, nor guarantees the accuracy, integrity or quality of, any material therein; (iii) all User Content posted on, transmitted through, or linked from the Just Wedding Vendors Network Services are the sole responsibility of the person from whom such User Content originated and Just Wedding Vendors Network has no responsibility for such User Content, (iv) by using the Just Wedding Vendors Network Service, you may be exposed to User Content that is offensive, inappropriate, harmful, indecent, inaccurate, deceptive, misleading or otherwise objectionable, and (v) Just Wedding Vendors Network shall have the right (but not the obligation) in its sole discretion to refuse or remove any User Content on the Site and to edit or delete any objectionable material. If you believe that Just Wedding Vendors Network has acted mistakenly with respect to certain User Content or other content, you may contact us by clicking any one the Report Inappropriate Content that are placed throughtout the site in which case we may investigate the matter further. We reserve the right, however, to take no further action, but should the content found be deemed inappropriate the material and/or vednor will be removed from the Just Wedding Vendors Network Site.

It is Just Wedding Vendors Network policy not to allow for any objectionable or unlawful material to be posted at the Site. We will use commercially reasonable efforts to remove, disable or restrict access to or the availability of User Content that, in our view, is objectionable, provided that we shall have no contractual obligation to undertake, or refrain from undertaking, any particular course of conduct. If you believe someone has posted User Content which is objectionable (other than cases of copyright infringement, which is addressed in Section 6 below), we ask you to promptly notify us by email by clicking Report Inappropriate Content . In order to allow us to respond effectively, please provide us with as much detail as possible, including: (i) the nature of the material, (ii) the precise location where the material is located, (iii) any grounds to believe that the person who posted the material was not authorized to do so, and (iv) if known, the identity of the person or persons who posted the material. By lodging a complaint, you agree that the substance of your complaint shall be deemed to constitute a representation made under penalty of perjury. If you believe that material remains on the Site that violates your rights, your sole remedy shall be against the person responsible for posting or storing it, not against us.

You must not, and by using the Site or Just Wedding Vendors Network Service, you agree not to, directly or indirectly (e.g., by linking to another web site or service) do any of, but not limited to, the following things:

Not to Publish, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information.
Impersonate anyone else or misrepresent your affiliation with a person or entity, including but not limited to a Just Wedding Vendors Network employee, or employ misleading e-mail addresses, forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Just Wedding Vendors Network Service;
Contact anyone who has asked not to be contacted, or stalk or otherwise harass anyone;
Not to interfere with or disrupt networks connected to the Service or violate the regulations, policies or procedures of such networks;
Use, collect or store other users' Personal Information (as defined in our Privacy Statement) or User Content for commercial or unlawful purposes, or for purposes other than establishing contact that is reasonably expected to be welcomed;
Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of unsolicited commercial advertisement or objectionable material;
Delete or revise any material posted by any other person or entity;

6. COPYRIGHT POLICY

All content, including but not limited to text, software, music, sound, photographs, trademarks, service marks, logos, video, graphics or other material contained on the Site or in commercially produced information presented to you through the Site by Just Wedding Vendors Network or Just Wedding Vendors Network' third party licensors ("Site Content") is protected by copyright, trademarks, service marks, patents or other proprietary agreements and laws and you are only permitted to use Site Content as expressly authorized herein or in writing by Just Wedding Vendors Network. These Terms of Use do not transfer any right, title, or interest in the Site or the Site Content to you, and Just Wedding Vendors Network and its third party licensors retain all of its and their respective right, title and interest to the Site and Site Content.

You acknowledge and agree that Just Wedding Vendors Network owns all database, compilation, collective and similar rights, title and interest worldwide in our information databases, and all information and derivative works generated from those databases.

Except as provided in these Terms of Use, you may not use, download, upload, modify, copy, print, display, perform, reproduce, publish, license, post, transmit, distribute or otherwise exploit any Site Content or information from the Site, in whole or in part, without the express permission of Just Wedding Vendors Network.

You may without our permission download, view, copy, retransmit and print Site Content, but only if:

The Site Content is used solely for personal, informational, or internal business purposes;
The Site Content is not provided, sold, licensed or leased (nor is access provided to the Site Content) for any fee or other consideration;
All copyright, trademark and other proprietary rights notices included in the Site Content and on the Site, appear on all copies;
The Site Content is not modified or altered in any way; and
No graphics are used separately from accompanying text.

The trademarks, logos and service marks displayed on the Site are the property of Just Wedding Vendors Network or its licensors. Just Wedding Vendors Network, JustWeddingVendorsNetwrk.com and all the brands of other Just Wedding Vendors Network products and services shown herein are the trademarks or registered trademarks of Just Wedding Vendors Network. Other trademarks belong to their respective owners. If you are aware of material on the Site that infringes copyright, please contact us through the copyright infringement notification process described below.

UNAUTHORIZED USE, COPYING, REPRODUCTION, MODIFICATION, REPUBLISHING, UPLOADING, DOWNLOADING, POSTING, TRANSMITTING, DISTRIBUTING OR DUPLICATING OR ANY OTHER MISUSE OF ANY PART OF THE SITE IS PROHIBITED. Nothing contained in the Terms of Use or in the materials on the Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any material in any manner without the prior written consent of Just Wedding Vendors Network or such third party that may own the material or intellectual property displayed on this Site. In addition, use of the Site Content or materials for any purpose not expressly permitted in the Terms of Use is prohibited. You shall not copy or adapt the HTML, PHP or scriptcode that Just Wedding Vendors Network uses to generate any Site Content or the pages making up the Site.

If you believe that your work has been copied and has been posted to the Site in a way that constitutes copyright infringement, you may provide Just Wedding Vendors Network with notice of your complaint by providing Just Wedding Vendors Network with the following information in writing:

The electronic or physical signature of the owner of the copyright that has allegedly been infringed or a signature of the person authorized to act on the owner's behalf;
Identify the copyrighted work that you claim has been infringed or, if multiple copyrighted works on the Site are covered by a single notification, a representative list of such works at the Site;

7. COMPLIANCE WITH APPLICABLE LAW

You agree to comply with all laws, legislation, rules, regulations, and governmental requirements of any jurisdiction in or from which you access the Site or Just Wedding Vendors Network Services. Your use of any data obtained through the Just Wedding Vendors Network Service or the Site, including without limitation e-mail addresses, to send e-mail to any person, must fully comply with all federal and state laws with respect to unsolicited e-mail.

8. DISCLAIMERS

THE SITE AND THE JUST WEDDING VENDORS NETWORK SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. JUST WEDDING VENDORS NETWORK DISCLAIMS TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AND YOU WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THE FUNCTIONS, MATERIALS AND CONTENT OF THE SITE ARE NOT WARRANTED TO BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, AND JUST WEDDING VENDORS NETWORK MAKES NO WARRANTY THAT THE INFORMATION ON THE SITE WILL BE ACCURATE, CURRENT OR RELIABLE OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS. JUST WEDDING VENDORS NETWORK DISCLAIMS ANY RESPONSIBILITY FOR THE DELETION, FAILURE TO STORE, MISDELIVERY, OR UNTIMELY DELIVERY OF ANY INFORMATION OR MATERIAL. YOU ASSUME THE ENTIRE RISK OF LOSS AND DAMAGE DUE TO YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO THE COST OF REPAIRS OR CORRECTIONS TO YOUR HARDWARE OR SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, AND AS A CONSEQUENCE SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

9. LIMITATIONS ON LIABILITY

YOUR USE OF THE SITE IS ENTIRELY AT YOUR SOLE RISK. JUST WEDDING VENDORS NETWORK AND ITS PARENTS, SUBSIDIARIES AND AFFILIATES, AND THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OR LOSSES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, WHICH YOU MAY INCUR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE SITE, EVEN IF JUST WEDDING VENDORS NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND AS A CONSEQUENCE SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. DISPUTES

The Terms of Use, your access and use of the Site and the Just Wedding Vendors Network Services and the relationship between you and Just Wedding Vendors Network is governed by the laws of the state of Pennsylvania, without giving effect to its conflict of law provisions. Just Wedding Vendors Network and you both agree to submit to the personal and exclusive jurisdiction of the courts of the state of Pennsylvania. Regardless of any statute or law to the contrary, any claim or cause of action by you arising out of or related to use of the Site or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred. In the event of any conflict between foreign laws, rules and regulations and those of the United States, the laws, rules and regulations of the United States will govern. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms of Use. If either party commences any action or proceeding against the other party to enforce or interpret this Agreement, the prevailing party in such action or proceeding shall be entitled to recover from the other party the actual costs, expenses and attorneys' fees (including all related costs and expenses), incurred by such prevailing party in connection with such action or proceeding and in connection with obtaining and enforcing any judgment or order thereby obtained.

11. INDEMNITY

You shall indemnify and hold harmless, and at Just Wedding Vendors Network's request defend, Just Wedding Vendors Network and its parents, subsidiaries, affiliates and service providers, as well as their respective owners, directors, officers, shareholders, employees, agents and owners (each, an "Indemnified Party") from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees, an allocation for in-house counsel, and other legal costs) arising out of your acts or omissions, including claims resulting from: (i) your use of or access to the Site, Site Content or Just Wedding Vendors Network Services; (ii) any breach of your obligations, representations or warranties set forth in these Terms of Use; or (iii) your violation of any rights of others. You shall reimburse each Indemnified Party on demand for any costs, expenses and liabilities incurred by such Indemnified Party to which this indemnity relates.

12. OTHER

Linking To or From the Just Wedding Vendors Network Web Site: Just Wedding Vendors Network is not responsible for any content, advertising, products, services or other materials on or available from web sites that are linked to or from Just Wedding Vendors Network (including without limitation web sites that may be linked to by another User, and which may be reached by you as part of a search you conduct using the Just Wedding Vendors Network Services). Just Wedding Vendors Network is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, advertising, products, services or other materials on those web sites. The sites displayed as search results or linked to by the Just Wedding Vendors Network Services are developed by people over whom Just Wedding Vendors Network exercises no control, and Just Wedding Vendors Network may not screen the sites before including them it's site. Usings the Just Wedding Vendors Network Services may produce results and links to sites that some people find objectionable, inappropriate, or offensive. We cannot guarantee that usage on aJust Wedding Vendors Network will not locate unintended or objectionable content and assume no responsibility for the content of any site included in any search results or otherwise linked to by the Just Wedding Vendors Network Services.

Miscellaneous: Just Wedding Vendors Network' relationship is not one of agency or partnership and neither you nor Just Wedding Vendors Network shall be deemed to be a partner, employee, fiduciary, agent or representative of the other by your use of the Site. You may not sell, trade, lease, assign or otherwise transfer your rights hereunder to any third party. Just Wedding Vendors Network may assign its rights and duties under these Terms of Use without such assignment being considered a change to the Terms of Use and without notice to you. The Terms of Use are severable. In the event that any provision is determined to be unenforceable or invalid, such provision shall still be enforced to the fullest extent permitted by applicable law, and such determination shall not affect the validity and enforceability of any other remaining provisions. If Just Wedding Vendors Network fails to enforce any provision of the Terms of Use, it shall not constitute a waiver of such provision. The Terms of Use will inure to the benefit of Just Wedding Vendors Network' successors, assignees and licensees. The Terms of Use, the Privacy Statement and the documents incorporated by reference (including without limitation the Member Subscription Agreement, if you decide to subscribe to Just Wedding Vendors Network fee based service), and any modifications by Just Wedding Vendors Network to the foregoing, constitute the entire understanding between Just Wedding Vendors Network regarding your access to, license and use of the Site and the Just Wedding Vendors Network Services, and they supersede any prior agreements, statements or representations with respect to the same. Just Wedding Vendors Network may provide you with notices by either, email, postal mail, or postings on the Site. Notices given by you to Just Wedding Vendors Network must be given by e-mail and addressed to brett@justweddingvendorsnetwork.com, or by postal mail.

Other Agreements: Please note that, if you sign up for one or more features of the Service that are provided by third parties or any of the widgets and applications that may be listed or marketed on Just Wedding Vendors Network.com (collectively, "Third Party Features"), then you may be required to agree to terms of service with those third parties as well. Any such terms of service are different from and in addition to this Agreement.

Acknowledgment

You acknowledge that (a) you have read and understood these Terms of Use; (b) these Terms of Use have the same force and effect as a signed agreement; (c) you have the requisite power and authority to agree to, deliver and perform these Terms of Use and to consummate the transactions contemplated hereby; and (d) these Terms of Use have been duly authorized, agreed to and delivered by you, constitute your legal, valid and binding obligation, and are enforceable against you in accordance with the terms and conditions herein.

Please read the Terms of Use (the "Terms of Use") carefully, along with the Just Wedding Vendors Network Privacy Policy. By using this web site, you signify your agreement to all terms, conditions and notices contained or referenced herein. If you do not agree to these Terms of Use, please do not use this site.

From time to time Just Wedding Vendors Network may modify, suspend or discontinue any of the Just Wedding Vendors Network Services offered on the web site without notice to you. Just Wedding Vendors Network shall not be liable to you for any modification, suspension or discontinuance of the Just Wedding Vendors Network Services.

4. ELIGIBILITY

YOU MUST BE EIGHTEEN YEARS OR OVER TO REGISTER AS A MEMBER OF JUST WEDDING VENDORS NETWORK. Subscription in Just Wedding Vendors Network is void where prohibited. By using the web site, you represent and warrant that you have the right, authority and capacity to comply with the Terms of Use and to abide by the Terms of Use.

While there are some services that are available only to individuals who purchase a premium-based subscription and services, there is no cost to visit, browse, or use the Just Wedding Vendors Network web site.

5. MEMBER ACCOUNTS AND BILLING

A. Member Account Information, Password and Security

When you become a subscribing member of Just Wedding Vendors Network, you will be asked to provide certain personal information about yourself, such as your name, address, telephone number, email and applicable billing information. In addition to the Just Wedding Vendors Network Privacy Policy on the web site, you understand and agree that Just Wedding Vendors Network may disclose to third parties, on an anonymous basis, certain aggregate information contained in your registration application. Just Wedding Vendors Network will not disclose to any third party your name, address, e-mail address or telephone number without your prior consent, except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant. Just Wedding Vendors Network reserves the right to offer third party services and products to you based on the preferences that you identify in your registration and at any time thereafter; such offers may be made by Just Wedding Vendors Network or by third parties. You are responsible for maintaining the confidentiality of your member account information, user identification and password. Because any activities that occur under your member account are your responsibility, it is important for you to keep your user identification and password secure. Notify us immediately if you believe that someone has used your registration or password without your authorization. You may not transfer or make available your user identification and password to others. Any distribution by you of your account name and password may result in cancellation of your subscription without refund and in additional charges based on unauthorized use. In some cases Just Wedding Vendors Network will subscribe to other services on your behalf. Just Wedding Vendors Network will be responsible for maintaining the confidentiality of these 3rd party member accounts.

B. Term

If Just Wedding Vendors Network determines, in our sole discretion, that you are not in compliance with the Terms of Use, Just Wedding Vendors Network reserves the right to terminate your subscription. Upon any termination of your subscription account, Just Wedding Vendors Network may immediately deactivate or delete your member account information and/or bar any further access to your member account information.

C. Name Purchase and Account Creation Rights

Members who subscribe to Just Wedding Vendors Network Premium and Premium Plus Service grant permission to Just Wedding Vendors Network to purchase and manage keywords representing their name (and variations thereof) for inclusion in Internet search engines. This would include, but not be limited to, the following sites: Google, Yahoo, MSN, Lycos, Ask Jeeves, AOL, and Overture. Keywords purchased on behalf of the member will be used solely for directing Internet search results to the member's profile at Just Wedding Vendors Network.

Members who subscribe to Just Wedding Vendors Network service grant permission to Just Wedding Vendors Network to create content on other 3rd party sites on behalf of the member. Just Wedding Vendors Network will have complete control over these accounts and will have the right to create, delete, or modify these accounts at the discretion of Just Wedding Vendors Network.

D. Billing

Some features of the Just Wedding Vendors Network Services provided through the web site require a fee-based subscription. If you elect to purchase these premium Just Wedding Vendors Network Services you understand that your subscription is personal to you. From time to time the Just Wedding Vendors Network Services may change, without prior notice. Prices for all Just Wedding Vendors Network Services exclude all applicable taxes and telecommunication charges, unless expressly stated otherwise. To the extent permissible under law, you are responsible for any applicable taxes, whether or not they are listed on your receipt or statement. If you purchase Just Wedding Vendors Network Services, you agree to pay, using a valid credit card (or other form of payment that Just Wedding Vendors Network may accept from time to time), the applicable fees and taxes (if any) set forth on the web site. Just Wedding Vendors Network reserves the right, upon prior notice to you, to change the amount of any fees and to institute new fees, effective at the end of your current billing period. It is unusual for Just Wedding Vendors Network to initiate additional cost at the end of a billing period. All authorized charges will be billed to your designated credit card account (or other payment method) on the terms described in the specific offer. If payment cannot be charged to your credit card or your payment is returned to Just Wedding Vendors Network for any reason, Just Wedding Vendors Network reserves the right to either suspend or terminate your access to the unpaid and paid Just Wedding Vendors Network Services. Just Wedding Vendors Network also reserves the right at its sole discretion to pause or remove any members account. In the even that Just Wedding Vendors Network removes a member account. In the event that Just Wedding Vendors Network pauses an account, we will notify the member as to the reason why within 7 days. All payments made for Just Wedding Vendors Network services are non-refundable.

F. Automatic Renewals

Just Wedding Vendors Network will automatically renew your monthly or yearly subscription at the beginning of each billing period to ensure that there is no interruption of your member privileges. Just Wedding Vendors Network will automatically charge your credit card at the then-current renewal rate using the credit card information Just Wedding Vendors Network has on file for your member account. Unless you provide Just Wedding Vendors Network with prior notice that you are canceling your subscription, Just Wedding Vendors Network will renew your subscription without further authorization from you. Please note that even if you provide Just Wedding Vendors Network with notice, it will not affect charges submitted before Just Wedding Vendors Network can reasonably act. Please contact Just Wedding Vendors Network Membership Services (brett@justweddingvendorsnetwork.com) to cancel your subscription. If you have enrolled in a one-time payment for a lifetime subscription, then no further billing will occur.

G. Cancellation

You may terminate your registration at any time by contacting Just Wedding Vendors Network Membership Services by email at brett@justweddingvendorsnetwork.com. If you have a dispute with Just Wedding Vendors Network relating to the web site or the Just Wedding Vendors Network Services, you may cancel your registration or cease use of the web site. The cancellation of your subscription or ceasing all use of our web site is your only remedy with respect to any such dispute that you may have with Just Wedding Vendors Network. Just Wedding Vendors Network will attempt to process all cancellation requests within 72 hours after Just Wedding Vendors Network receives your request. Payment for joining Just Wedding Vendors Network or fee-based Just Wedding Vendors Network Services is non-refundable including any payment made with respect to yearly or monthly subscriptions. Upon any cancellation of your subscription, Just Wedding Vendors Network may immediately deactivate or delete your subscription and all related information and/or bar any further access to your subscription or information. Upon cancellation Just Wedding Vendors Network will cease any additional billing.

6. NON COMMERCIAL USE BY MEMBERS

The Just Wedding Vendors Network web site is for the personal use of individual members only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become members and should not use the Just Wedding Vendors Network Services and/or the web site for any purpose. Illegal and/or unauthorized uses of the web site, including collecting user identification and/or e-mail addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the web site will be investigated, and appropriate action will be taken, including without limitation, civil, criminal, and injunctive redress. 7. PROPRIETARY RIGHTS IN CONTENT

By submitting member information (the "Content") to Just Wedding Vendors Network, you grant Just Wedding Vendors Network the loyalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content. You also warrant that the holder of any rights has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit any subscriber to access, display, view, store and reproduce such Content for personal use. Your member privileges allow you to post or upload content, including but not limited to, biographical information, photographs, profiles and links to other online content. You should choose carefully the information you wish to make public. Just Wedding Vendors Network is not responsible for the consequences that may arise from the posting of information.

You are responsible for updating your Just Wedding Vendors Network profile and maintaining accurate information. If you fail to update your profile or if all or part of your profile is (or appears to be) untrue, inaccurate, or incomplete, Just Wedding Vendors Network may suspend or terminate your subscription and refuse any and all current or future use of the web site and the Just Wedding Vendors Network Services, without refund to you of any fees paid.

Please remember that you are ultimately responsible for all content that you provide and you warrant and represent that: (i) the content does not and will not infringe on any copyright or any other third party right nor violate any applicable law or regulation; and (ii) you have the right to grant any and all necessary rights and licenses, including without limitation, all necessary copyright and other related rights to the content, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity; and (iii) that each person depicted in any picture or photograph that you submit as part of the content, if any, has provided consent to the use of the photograph. Post any incomplete, false or inaccurate biographical information or information which is not your own;

Impersonate anyone else or misrepresent your affiliation with a person or entity;
Use other members' personal data for purposes other than establishing contact that is reasonably expected to be welcomed;
Post any franchise, pyramid scheme, "club subscription", distributorship or sales representative agency arrangement or other business opportunity which requires an up front or periodic payment, pays commissions only (except for postings that make clear that the available job pays commission only and clearly describes the product or service that the member would be selling, in which case such postings are permissible), requires recruitment of other members, sub-distributors or sub-agents;
Delete or revise any material posted by any other person or entity;
Gain unauthorized access to the web site, other members' accounts, or computers connected to the web site;
Disclose to or share your password with any third parties or using your password for any unauthorized purpose; and
Attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Just Wedding Vendors Network web site. Just Wedding Vendors Network does not represent or guarantee the truthfulness, accuracy, or reliability of information posted by members or endorse any opinions expressed by members. You acknowledge that any reliance on material posted by other members will be at your own risk.

9. COPYRIGHT POLICY/COPYRIGHT INFRINGEMENT POLICY

The web site (and all of the material that it contains) is owned by Just Wedding Vendors Network and is protected by intellectual property and other laws throughout the world. Just Wedding Vendors Network, in its sole discretion, reserves the right to refuse additional content from members who have posted allegedly infringing material, and / or delete the material, or to terminate such members' accounts.

After receiving a notification, Just Wedding Vendors Network will process and investigate the notification and will take appropriate actions under the DMCA and other applicable intellectual property laws. Upon receipt of a notification that complies or substantially complies with the DMCA (as set forth above), Just Wedding Vendors Network will act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity, and will act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. Just Wedding Vendors Network will promptly take reasonable steps to notify the member that is the subject of the notification that it has removed or disabled access to such material.

If you are subject to a notification, you may provide Just Wedding Vendors Network with a counter notification by providing Just Wedding Vendors Network' Designated Copyright Agent the following information in writing:

your physical or electronic signature;
identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and;

Upon receipt of a proper counter notification under the DMCA (as set forth above), Just Wedding Vendors Network will promptly provide the person who provided the initial notification with a copy of the counter notification and inform that person that it will replace the removed material or cease disabling access to it in ten (10) business days. Additionally, Just Wedding Vendors Network will replace the removed material and cease disabling access to it not less than ten (10), nor more than fourteen (14) business days following receipt of the counter notice, unless Just Wedding Vendors Network' Designated Copyright Agent first receives notice from the person who submitted the initial notification that such person has filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material on the web site.

JUST WEDDING VENDORS NETWORK DISCLAIMS TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AND YOU WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 13. DISPUTES

The Terms of Use, your access and use of the web site and the Just Wedding Vendors Network Services and the relationship between you and Just Wedding Vendors Network is governed by the laws of the State of Pennsylvania, without giving effect to its conflict of law provisions. Just Wedding Vendors Network and you both agree to submit to the personal and exclusive jurisdiction of the courts of the State of Pennsylvania. You are responsible for complying with local laws, if and to the extent local laws are applicable. Notwithstanding the foregoing, Just Wedding Vendors Network shall have the right to commence and prosecute any legal or equitable action or proceeding before any United States or non-United States court of competent jurisdiction to obtain injunctive or other relief in Just Wedding Vendors Network's sole discretion. Regardless of any statute or law to the contrary, any claim or cause of action by you arising out of or related to use of the web site or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

14. INDEMNITY

You shall indemnify and hold harmless, and at Just Wedding Vendors Network' request defend, Just Wedding Vendors Network and affiliates, as well as their respective directors, officers, shareholders, employees, agents and owners (each, an "Indemnified Party") from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees, an allocation for in-house counsel, and other legal costs) arising out of your acts or omissions, including claims resulting from your use of the web site, your submission, posting or transmission of information or Content, or any breach of your obligations set forth in this agreement.
